ClearPath Service Terms

These ClearPath Service Terms govern paid services provided by ClearPath Development ("ClearPath," "we"), a California-based advisory firm. By checking the agreement box at Stripe checkout and completing payment, you ("Client," "you") agree to these Terms for the service you are purchasing.
1. General ClearPath Advisory Disclaimers
ClearPath is an advisory and consulting firm focused on real estate feasibility, pathway screening, and entitlement strategy guidance for residential property in California.
ClearPath does not provide:
- Real estate brokerage representation or agency services
- Construction, general contracting, or design-build services
- Engineering, architectural, or surveying services
- Legal, tax, financial, or investment advice
- Any guarantee or warranty of city, county, state, or utility approval
ClearPath's work is based on publicly available data, applicable code and ordinances as of the date of service, and ClearPath's professional judgment. ClearPath does not perform original surveys, site inspections, environmental testing, geotechnical studies, or soils analysis.
Final decisions about a property, a transaction, or a construction project are the Client's responsibility and require independent verification with qualified licensed professionals.
2. $150 Strategy Session Terms
Scope. The $150 Strategy Session is a one-time 30-minute advisory call with ClearPath focused on a single property or a single strategic question. It is informational in nature.
Deliverable. No written report is included. Client may receive a short follow-up email summarizing the call at ClearPath's discretion.
Booking and Payment. Client pays $150 in full at booking through Stripe. The Strategy Session must be scheduled within 30 days of payment. If Client fails to schedule or attend within 30 days, the session is forfeited and the fee is non-refundable.
Limitations. A Strategy Session is not a Property Analysis. It does not include pathway screening across multiple scenarios, density modeling, comparable market context, risk register, or a recommended path. Strategy Session findings are conversational guidance only and must not be relied on for transaction or construction decisions without further analysis.
Refund Policy. The $150 fee is refundable in full only if ClearPath cancels the session and is unable to reschedule within 30 days. Once the session occurs, the fee is earned and non-refundable.
Conversion Credit. If Client engages ClearPath for a $750 Property Analysis on the same property within 30 days of a Strategy Session, the $150 paid will be credited toward the Property Analysis fee.
3. $750 Property Analysis Terms & Engagement Agreement
Scope. The Property Analysis is a written advisory report covering a single property identified at intake. The report follows ClearPath's v1.0 ten-section structure including cover and executive summary, property profile, highest and best use analysis, pathway screening (SB-9, SB-1123, ADU, condo map, subdivision, hold), density and unit scenarios, risk register, comparable market context, recommended path, next three actions, cost-to-continue notes, code references, data sources with verification dates, and a disclaimer.
The Property Analysis is advisory in nature only. It does not constitute brokerage, agency, construction, design-build, engineering, architectural, surveying, legal, tax, financial, or investment services.
Intake. Client provides property address, APN, and any prior reports or relevant documents at intake. ClearPath reviews intake, assigns a workflow lane, and (if applicable) quotes a complexity surcharge in writing before any Stripe Payment Link is generated.
Deliverable. The final deliverable is a PDF export of the Property Analysis, delivered to the email address Client provides at intake. Editable working files are retained by ClearPath as internal artifacts and are not part of the Client deliverable.
Workflow Lanes and Turnaround. Turnaround time runs from receipt of payment:
- STANDARD lane: 24 hours
- MEDIUM lane: 48 hours
- COMPLEX lane: 72 hours plus a complexity surcharge quoted in writing before checkout
A property may qualify as COMPLEX if it has five or more overlay flags, is commercial or mixed-use, has hillside or grade complications, has sensitive overlays, has lien complications, sits in multiple jurisdictions, has known environmental concerns, or involves change-of-use.
Client Responsibilities. Client agrees to:
- Provide accurate property information at intake
- Independently verify any conclusion or recommendation in the Property Analysis with qualified licensed professionals (architect, civil engineer, contractor, attorney, accountant, geotechnical or environmental consultants as applicable) before committing money or making transaction decisions
- Confirm any code-based, zoning-based, or jurisdictional finding directly with the relevant city, county, or state agency before acting on it
- Disclose any conflicting reports, pending litigation, encumbrances, or material facts about the Property known to Client that may affect the Analysis
Refund Policy. If ClearPath is unable to complete the Property Analysis for reasons within ClearPath's control, the fee is refunded in full through Stripe. Once the PDF is delivered to Client's email, the fee is earned and non-refundable.
4. Payment, Refund, and Acceptance Terms
Payment Methods. ClearPath accepts payment through Stripe (primary). For Clients who request alternative payment methods such as Zelle, Venmo, or wire transfer, ClearPath may accept payment outside Stripe at its discretion.
Acceptance of Terms.
- Primary method. Client checks the terms acceptance checkbox at Stripe checkout and completes payment. Stripe records acceptance with timestamp, Customer ID, and payment intent ID.
- Backup method. If Client pays via Zelle, Venmo, or wire transfer in lieu of Stripe, Client must email ClearPath confirming acceptance of these Terms and then complete payment. The email reply plus the payment record together constitute acceptance.
Refund Summary.
- Strategy Session ($150): refundable only if ClearPath cancels and cannot reschedule within 30 days. Earned once the session occurs.
- Property Analysis ($750 plus any surcharge): refundable in full if ClearPath cannot complete for reasons within ClearPath's control. Earned upon PDF delivery.
Currency and Taxes. All fees are in U.S. dollars. Client is responsible for any applicable sales or use tax in jurisdictions where it applies.
5. No Brokerage Relationship
This engagement does not establish a real estate brokerage or agency relationship. ClearPath does not list, sell, buy, solicit buyers or sellers, negotiate purchase or sale terms, prepare purchase agreements, or represent Client in any real estate transaction under this engagement.
If Client requests real estate brokerage representation, that representation requires a separate written engagement with the appropriate brokerage relationship and applicable disclosures, governed by California Department of Real Estate rules.
Client is free to use any licensed real estate broker, agent, attorney, or consultant of Client's choosing for any actual or anticipated transaction.
6. No Construction Services
This engagement does not solicit, offer, price, contract for, supervise, or perform construction work, design-build services, or general contracting services. ClearPath is engaged solely as an advisory and consulting firm.
If Client wishes to discuss construction, design-build, or contractor work for the Property, that work requires a separate written agreement with the appropriately licensed contractor and its own required disclosures and contractual protections.
Client is free to use any licensed contractor, architect, engineer, or designer of Client's choosing.
7. No City, Permit, PG&E, ROI, or Approval Guarantee
ClearPath findings reflect analysis of publicly available data and applicable code as of the date of service. ClearPath does not guarantee:
- City, county, or state approval of any pathway, permit, entitlement, or land use application
- Pacific Gas and Electric Company (PG&E) approval, service capacity, or interconnection timeline
- Any other utility approval or capacity
- Any return on investment, profit, yield, gross margin, or financial outcome
- Any timeline for governmental, utility, or agency review
Code, ordinances, overlays, fee schedules, and review processes change between the date of service and the date Client acts on the findings. Any modeled gross margin, yield, cost-to-continue, or upside figure in a ClearPath deliverable is an illustrative estimate based on stated assumptions and is not a guarantee of financial outcome.
Final eligibility and approval are determined by the relevant agencies through their formal review processes.
8. Conceptual Diagrams Only
ClearPath deliverables may include code-generated isometric block views, birds-eye site plans, or other concept diagrams. These diagrams are:
- Conceptual representations only, not engineered drawings
- Based on lot dimensions and pathway analysis at the time of generation
- Not to be submitted to any city, county, or utility as plans
- Not a substitute for architectural, civil engineering, or surveying work
- Subject to final design, geotechnical findings, and code review during actual entitlement and permitting
9. Client Verification Responsibility
Client agrees to independently verify any conclusion, finding, recommendation, code citation, comparable, or numeric estimate in any ClearPath deliverable with qualified licensed professionals before committing money, signing a purchase agreement, signing a sale agreement, signing a construction contract, or making any other material decision.
Client agrees to confirm any zoning, code, overlay, setback, density, sewer, septic, water, PG&E, fire authority, school district, or other jurisdictional finding directly with the relevant agency before acting on it.
ClearPath deliverables identify open items, assumptions, and verification dates explicitly in Appendix B (Open Items) and Appendix A (Data Sources). Client is responsible for closing those open items with the appropriate agency or licensed professional.
10. Related-Business Disclosure
ClearPath Development's principal has ownership or business interests in separate real estate and construction-related businesses. This ClearPath engagement is separate from any brokerage, construction, design-build, contractor, or other related-business relationship. Client is free to use any broker, contractor, architect, engineer, consultant, or other professional of Client's choosing.
Any separate engagement (for brokerage, construction, or other services) requires its own separate written agreement and its own required disclosures at the time of that engagement.
ClearPath does not earn referral fees from contractors or other consultants for work introduced through a ClearPath engagement unless that arrangement is disclosed to Client in writing before the referral occurs.
11. Limitation of Liability
ClearPath's total liability under any engagement governed by these Terms, regardless of the cause of action or theory of liability, is limited to the fee actually paid by Client for the specific service in question ($150 for a Strategy Session, $750 plus any complexity surcharge for a Property Analysis).
ClearPath is not liable for indirect, consequential, special, incidental, or punitive damages, lost profits, lost opportunity, lost time, lost yield, or any damages arising out of Client's use of or reliance on a ClearPath deliverable.
Client agrees to indemnify and hold harmless ClearPath, its principal, and any associated parties from claims arising out of:
- Client's reliance on a ClearPath deliverable without the independent professional verification required by Section 9
- Any inaccurate or incomplete information Client provided at intake
- Actions taken in reliance on a deliverable after Client knew or should have known additional verification was warranted
Governing Law and Venue
These Terms are governed by the laws of the State of California. Any dispute arising from or related to these Terms or any service governed by them will be resolved in Santa Clara County, California.
Confidentiality
ClearPath will treat Client's property address, the existence of any engagement, and Client's personal contact information as confidential. ClearPath may use anonymized or address-redacted findings for internal benchmarking and for marketing illustrations with no identifiable details. ClearPath will not share Client's contact information with third parties without Client's written consent, except where required by law.
Severability and Entire Agreement
If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect. These Terms, plus the specific intake and payment record for a given engagement, constitute the entire agreement between ClearPath and Client for that engagement. Modifications must be in writing and confirmed by both parties.
Updates to These Terms
ClearPath may update these Terms from time to time. The version in effect at the time Client completes payment governs that engagement. Material updates will be marked with a new version number and effective date at the top of this page.
